Our Terms

1.Definition 

(a) Image includes a photograph, transparency, negative, digital scan, design,artwork, painting, montage drawing, engraving, video, or any other item which may be offered for the purposes of reproduction.

(b) Reproduction includes any form of publication or copying of the whole or part of any image and whether or not altered by printing, photography, slide projection (whether or not to an audience) xerography, artist's reference, artist's illustration, layout or presentation, electronic or mechanical reproduction or storage by any other means

(c) The Client is the person or organization to whom the invoice is addressed (whether or not the Client is acting for a third party).

2.PSCO Studios Responsibilities.

PSCO Studios  hereby agrees to perform photographic services for Client(s) in a professional, workmanlike manner according to the prevailing standards in the industry ("Services"). PSCO Studios may employ one or more assistants. PSCO Studios. is not responsible for the impact on the final product of any interference caused by guests or other vendors at the Event. PSCO Studios will make every effort to obtain, but cannot guarantee delivery of, any specific images requested by client because of PSCO Studios lack of control over the Event, its participants, weather, and any rules or restrictions of the venue or official conducting the Event.

3.Exclusive

The PSCO Studios shall be the exclusive cinematographer and/or Photographer retained by the Client for the photographic services being provided. Guests, family, and friends of the Client shall be permitted to film or photograph as long as they shall not interfere with the PSCO Studios duties.

4.Retainer

An initial retainer of 50% of the total cost and a signed contract must be secured prior to any services being performed by PSCO Studios

5.Contracted package 

Includes all services described in selected package details reviewed and distributed to clients. Any additional services/products requested by the client incurred by PSCO Studios will be billed directly to client at cost. All services contracted cannot be deducted, but additional services can be added.

For your convenience, payments to PSCO Studios can be made through credit card, PayPal or Digital Transfer like Cashapp or Venmo.

6. Delivery Date. 

The photos shall be delivered no later than 30 Days from day of event/photo or specific date agreed upon. 

Turnaround for events are 7-14 business day

7.Expiration

Current event date is valid 1-week post origination date to secure services.

8.Style & Discretion

PSCO Studios will request a shot list from the Client. PSCO Studios will attempt to honor every item on the shot list, however some items on the list may not be captured due unforeseen circumstances. Client understands and agrees that the Client is hiring PSCO Studios to perform Photography and/or Cinematography services in PSCO Studios's own discretion and style. Client has no authority to control the manner in which PSCO Studios takes photos and/or video footage. Client has no right to rescind this Agreement in any way if Client is not satisfied with PSCO Studios photographic work. 

9.Travel/ Hotel Accommodations 

Rehearsal and Day of event hotel accommodations (1 room with 2 double beds for 2 days or 2 rooms with 1 double bed for 2 days) are required within 10 – 15 miles of site in a safe location for all employees or team members of PSCO Studios. working the job for any session located further than 50 miles from the studio. (If applicable)

10.Destination

For all events deemed as destination (taking place beyond 125 miles from studio), additional fees are applicable, such as round trip airfare, hotel stay for 4-5 days & 3-4 nights pending complexity, and car rentals from airport and back during the stay. All travel can be arranged by clients per specifications of PSCO Studios. or arranged by PSCO Studios. with agreement of payment invoiced.

11.Attire

All associates of PSCO Studios. will wear proper brown or black attire the day of event.

12.Liability

It is understood that PSCO Studios. is only liable for services completed and provided by PSCO Studios. and cannot be held liable for the services of other contracted vendors. It is understood that in no event shall PSCO Studios. be liable for consequential damages of any kind.

13.Cancellation Policy

If event/photo session is canceled, no portion of the fees paid to PSCO Studios will be returned if event is canceled less than 2 months and/or 7 days prior to event date, 2nd payment will be required to compensate for hours of service already rendered and loss of event date. If the event is postponed, services contracted can be applied to a new date if available (refer to Postponement Policy).

14.Postponement Policy

If event is postponed, all services will cease at time of notification of postponement if no determined new date is provided. Payment schedule will be determined and readjusted post new event date notification. If client requires services to resume, post new event date being established, second payment will be required at time of service re-start.

15.Responsibility/ Impossibility

a.Force Majeure 

PSCO Studios. is not liable or responsible to the client when unable to preform is caused by or results from acts beyond the impacted party’s (“paul”) control, including, but not limited to, the following force majeure events (“Force Majeure Events”): (a) acts of God; (b) a natural disaster (fires, explosions, earthquakes, hurricane, flooding, storms, explosions, infestations), epidemic, or pandemic; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances; and (i) shortage of adequate power or transportation facilities. If event is canceled due to Force Majeure Event, no portion of the retainer or deposit paid to Paul & Shana Production Co. will be returned. If event is canceled less than 2 months, and/or 7 days prior to event/session date, 2nd payment will be required to compensate for hours of service already rendered and loss of event date. For Postponement due to Force Majeure Events the client shall give Notice within 7 days of the Force Majeure Event to PSCO Studios., stating the period of time the occurrence is expected to continue.

PSCO Studios. is not responsible if client fails to plan accordingly for the job, including, but not limited to, the following: not booking location, models or proper equipments. The client shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized. The Impacted Party shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause. In the event that the Impacted Party’s ( the client ) failure or delay remains uncured for a period of 6 months following Notice given by it, the other party may thereafter terminate this Agreement upon Notice.

b.Failure to Perform Services 

In the event Provider cannot or will not perform its obligations in any or all parts of this Agreement, it (or a responsible party) will:

  1. Immediately give Notice to Client via the Notice provisions detailed in this Agreement; and

  2. Attempt to find another competent professional to take its place with the mutual agreement of Client(s);

  3. If another competent professional is not available or Client(s) do not agree to transfer of obligations to said alternate professional, Company will issue a refund or credit based on a reasonably accurate percentage of services rendered; and

  4. Excuse Client(s) of any further performance and/or payment obligations in this Agreement.

16.Event Meals. 

Client shall arrange with the caterer for meals to be provided to PSCO Studios and 1 assistant (if applicable).

17.Overtime

Additional unplanned and/or un-contracted services (such as, but not limited to, full redo of design, day of event extension of time, services outside of scope of agreement, management of non event day activities, etc) are considered overtime and will be billed with prior notification and consent at the rate of $175 per hour.

18.Costs

Any purchased items on behalf of client for day of event or prior will be billed directly to client at cost of goods and mileage at $.52 per mile if extensive travel (beyond 25 miles) is required to be acquired.

19.Contracted Vendor and Payments

Any rentals and/or subcontracted vendors contracted on behalf of client will be paid in full to Consultant directly at requested deadline. Proper notice will be provided per cost.

20.Damage or Loss of Accessories

Client agrees to exercise all due care in caring for, and preserving the property of Consultant. Clients shall remain responsible for all loss or damage to rentals, up to and including actual replacement value for each missing or damaged item per cost.

21.Payment Schedule and Method

For your convenience, payments can be made online using a valid credit card. Otherwise, payment is to be made by PayPal, Zelle, Cashapp, and or Venmo.

50% initial retainer due upon completion of the signed agreement for services. Remaining balance is by job date or agreed an upon date.

22.Copyright. 

All photos footage taken by PSCO Studios at the Event, in whatever form, are copyright protected.  PSCO Studios will allow reproduction and publishing for personal use (eg. facebook, blogs), but any sale or publication for profit without PSCO Studios express written permission is a violation of federal copyright law. PSCO Studios retains Copyright in all images taken at the Event. This clause shall survive the Term.

The entire copyright in the images is retained by the photographer representing PSCO Studios at all times throughout the world.

(b) PSCO Studios supplies the technical and artistic ability to illustrate an idea photographically, and sells the right to reproduce those images in a given context. No property or copyright in any images shall pass to the Client whether on its submission or on Paul & Shana Production Co. grant of reproduction rights in respect thereof.

(c) PSCO Studios  asserts both its moral and legal right to be identified as the author of its work.

(d) Unless otherwise agreed in writing if any image reproduced by the Client omits the copyright notice or credit line specified by PSCO Studios  any fee payable by the Client shall be subject to an increase specified by PSCO Studios , and in any event an increase of not less than 25%.

(e) Unless otherwise specified, the copyright notice should read ©PSCO Studios .

23.Attorney
If legal action is necessary to enforce the terms of this contract the prevailing party shall be entitled to reasonable attorney fees in additional to any other remedies to which that party might be legally entitled.

24.Appropriate Conduct/ Safe Working Environment: 

The Client(s) expressly agree(s) to take best efforts to provide PSCO Studios and Vendor’s staff with safe and appropriate working conditions. In the event of circumstances deemed by either PSCO Studios or a bystander to present a threat or implied threat of injury or harm to PSCO Studios staff or equipment, the PSCO Studios reserves the right to cancel all services remaining under this Agreement and leave the event. At the PSCO Studios’ discretion, PSCO Studios may enact a three-strike policy. After the first offense, the [Vendor] will make reasonable efforts to notify the Client(s) or a responsible party. If the Client(s) is/are able to respond to the threatening situation in a reasonable amount of time (maximum of 15 minutes), [Vendor] shall resume work in accordance with the original terms of this Agreement. If the threatening behavior occurs for a second time, the Client(s) will agree to remove the offending person for the remainder of the event. If the behavior occurs a third time, the [Vendor] will immediately leave the event. If the [Vendor] leaves the event early due to any offending behavior, the Client(s) expressly agree to relieve and hold [Vendor] harmless as a result of incomplete event coverage, or for a lapse in the quality of the [Vendor’s] work, and the Client(s) shall be responsible for payment in full.

b,Health & Safety

Client(s) further understand that [PSCO Studios] complies with all health and safety laws, directives, and rules and regulations. Client(s) expressly agree(s) that during the [event/wedding/session] Client(s) and Client(s)’ agents shall not carry weapons or firearms, be exposed to severe illness, or request the [PSCO Studios] to do anything illegal or unsafe. Further, [PSCO Studios] will not provide services in any location or area deemed to be unsafe in its sole discretion, including, but not limited to, areas affected by communicable diseases, quarantined areas, or other similar occurrences. Under any of these circumstances, [PSCO Studios] reserves the right to end service coverage immediately and/or leave the [event/wedding/session]. [PSCO Studios] shall be entitled to retain all monies paid and Client(s) agree to relieve and hold [PSCO Studios] harmless as a result of incomplete event coverage, or for a lapse in the quality of the [PSCO Studios] work.
